Terms of use
1. Agreement to these terms
These Terms of Use ("Terms") are a binding agreement between you and Janover Capital LLC, with its affiliates, members, managers, officers, employees and agents ("Janover Capital", "we", "us"), governing your use of cre.events (CRE Events) and its content, calendar files, downloads, forms and services (the "Site"). By using the Site you accept these Terms and our Privacy policy, which is part of them. If you don't agree, don't use the Site. If you use it for an entity, you confirm you can bind that entity, and "you" includes it.
2. Who we are, and what we are not
Janover Capital LLC is a commercial mortgage capital markets advisory firm. We act as an intermediary and broker that arranges commercial-purpose financing for commercial and multifamily real estate. We are not a bank, direct lender, deposit-taking institution, mortgage servicer or fiduciary. We don't make credit decisions, fund loans, or guarantee that any financing will be available, offered or closed on any terms. We don't arrange consumer mortgages or loans secured by single 1-4 unit residential properties or owner-occupied homes; residential portfolios of five or more units are treated as commercial. Any engagement of Janover Capital happens only under a separate signed written agreement; using the Site or our review of what you send creates no such relationship. Janover Capital LLC separately holds insurance licenses in Florida (#L136031) and Texas (#3490226); insurance is not offered through this Site and is provided only through janoverinsurance.com.
We are not the organizer of, and are not affiliated with or endorsed by, any event or organizer listed on the Site. Event and organizer names are used only to identify the events.
3. No offer, no commitment, no advice
Everything on the Site is general information. Nothing on it is, or may be relied on as: (a) an offer to lend or an offer, solicitation or commitment to arrange financing; (b) a loan approval, prequalification, rate quote or lock; (c) legal, tax, accounting, investment, financial or other professional advice; or (d) a recommendation about any transaction, event or strategy. Consult your own advisors before making a financing decision.
4. Eligibility and permitted use
The Site is for people at least 18 years old, in the United States, researching commercial real estate events or commercial-purpose financing. Use it only lawfully and under these Terms.
5. Event listings, calendar files and downloads
Event dates, cities, venues, prices, deadlines, audiences and attendance figures are read from each organizer's own website on the date shown on the event page, and attendance figures are the organizer's own claims. Organizers change them without telling us. The calendar, the .ics files, the subscription feed and the CSV and JSON downloads may be out of date, incomplete or wrong, and are provided "as is". Always confirm with the organizer and register on the organizer's site before you book travel or pay. We're not responsible for any event, its cancellation or changes, or anything an organizer sells you.
6. Sponsored placements
Any paid placement on the Site is labeled "Sponsored" and its links are marked as sponsored. The calendar's order is by date and isn't for sale; sponsorship never changes an event's facts. A sponsored placement isn't our endorsement of the sponsor, its event or its services.
7. Educational content
Guides and other articles are general, may not reflect the latest changes, and may not apply to you. They create no advisory or client relationship.
8. Information you submit
When you send information through the Site (the contact form or the financing form), you confirm that it's accurate and complete in all material respects, that you have the right to provide it, and that providing it breaks no law or agreement. You allow us to use and share it as described in our Privacy policy, including with prospective lenders and transaction parties when you direct us to, to evaluate and arrange financing. Until you and Janover Capital sign a written engagement agreement with confidentiality terms, what you send through the Site has no duty of confidentiality beyond our Privacy policy.
9. Consent to be contacted
By sending your contact details through the Site, you consent to receive calls, texts and emails from or for Janover Capital at the numbers and addresses you give, including calls and texts placed with automated technology or prerecorded messages, about your request and our services. Consent isn't a condition of any service. Message and data rates may apply, and message frequency varies. Opt out any time by replying STOP to a text, using the unsubscribe link in an email, or contacting us at (561) 559-4111 or hello@cre.events. If you give a phone number that isn't yours, you confirm you have the owner's permission.
10. Electronic communications
You agree to receive communications from us electronically, and that electronic agreements, notices and disclosures satisfy any requirement that they be in writing.
11. Intellectual property and data
The Site, including its text, design, graphics, trade dress, software and the compilation of the event calendar, belongs to Janover Capital LLC or its licensors and is protected by copyright, trademark and other laws. "Janover" and "Janover Capital" may not be used without our written consent. You may view the Site for personal or internal business use and quote short passages with a link back.
Data. The event calendar downloads (CSV and JSON) are licensed under Creative Commons Attribution 4.0 with the credit "Data: CRE Events (cre.events)" and a link, as the calendar page states. Event facts themselves are the organizers'; event names and marks belong to their owners. For bulk or commercial licensing, write to hello@cre.events.
12. Prohibited conduct
You agree not to: (a) scrape or systematically extract content from the Site except as allowed by our robots.txt or the data license above; (b) interfere with or disrupt the Site; (c) try to gain unauthorized access to any system or data; (d) send false, misleading or fraudulent information, including false event listings or corrections; (e) use the Site to break any law or third-party right; (f) frame or mirror the Site misleadingly; or (g) reverse engineer its software.
13. Third-party websites
The Site links to event organizers' websites and other third-party sites. They have their own terms and privacy policies. A link isn't an endorsement, and we're not responsible for third-party content, events, products or services.
14. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, DATA, CALENDAR FILES, DOWNLOADS AND SERVICES ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DON'T WARRANT THAT ANY FINANCING WILL BE AVAILABLE OR ARRANGED, OR THAT ANY EVENT WILL TAKE PLACE AS LISTED.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) JANOVER CAPITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, OPPORTUNITIES OR DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DON'T ALLOW CERTAIN LIMITATIONS, SO SOME OF THIS MAY NOT APPLY TO YOU; THEN OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT THE LAW ALLOWS. THIS SECTION DOESN'T APPLY TO LIABILITY THAT CAN'T BE LIMITED BY LAW.
16. Indemnification
You agree to defend, indemnify and hold harmless Janover Capital LLC, its affiliates and their members, managers, officers, employees and agents from claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Site; (b) your breach of these Terms or any law; (c) information you send, including its inaccuracy; or (d) your violation of any third-party right.
17. Dispute resolution: arbitration, class waiver, jury waiver
Please read this section carefully. It affects your legal rights.
Any dispute arising out of or relating to the Site or these Terms that can't be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, seated in Palm Beach County, Florida. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in court for misuse of intellectual property or unauthorized access to the Site.
Class action waiver. Disputes must be brought individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over one.
Jury trial waiver. If a dispute proceeds in court instead of arbitration, each party knowingly and voluntarily waives trial by jury.
Time limit. To the fullest extent the law allows, any claim arising out of or relating to the Site or these Terms must be started within one year after it accrues, or it is permanently barred.
18. Governing law and venue
These Terms and any dispute about them or the Site are governed by the laws of the State of Florida and applicable federal law (including the Federal Arbitration Act for section 17), without regard to conflict-of-law rules. Subject to section 17, the exclusive venue for any court proceeding is the state or federal courts in Palm Beach County, Florida, and you consent to jurisdiction there.
19. Changes; termination
We may change these Terms by posting a revised version with a new effective date; continued use after posting means you accept it. We may suspend or end access to the Site, or any feature, at any time without notice or liability.
20. General
These Terms and the Privacy policy are the entire agreement between you and Janover Capital about the Site. If a provision is unenforceable, it will be changed to the minimum extent needed and the rest stays in force. Not enforcing a provision isn't a waiver. You may not assign these Terms; we may. Sections that by their nature should survive (including 3, 5, 8, 11 and 14 to 18) survive.
